1. Agreement to Terms

By accessing or using Redd Growth's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

Redd Growth provides Reddit marketing services including but not limited to:

• Organic Reddit growth and community engagement
• Reddit advertising campaign management
• AMA (Ask Me Anything) campaign planning and execution
• Subreddit takeover campaigns
• Branded subreddit creation and management
• Reddit marketing strategy and consulting

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your business
• Respond to our requests for information in a timely manner
• Review and approve content before publication (when applicable)
• Comply with Reddit's Terms of Service and Content Policy
• Pay all fees according to the agreed payment schedule
• Not engage in activities that could damage our reputation or violate Reddit's rules

4. Payment Terms

Fees and Billing

Service fees are outlined in your service agreement. Payment terms vary by package:

• Starter Packages: 50% upfront, 50% upon completion
• Monthly Retainers: Billed monthly in advance
• Enterprise: Custom payment terms as agreed

Ad Spend

Reddit advertising spend is separate from our management fees. You are responsible for funding your Reddit Ads account directly or authorizing us to charge your payment method for ad spend.

Late Payments

Invoices not paid within 7 days of the due date may result in suspension of services. A late fee of 1.5% per month may be applied to overdue balances.

5. Service Guarantees and Limitations

While we commit to providing professional services and achieving the best possible results, we cannot guarantee specific outcomes such as:

• Specific numbers of upvotes, impressions, or conversions
• Reddit algorithm performance or community response
• Subreddit moderator decisions or community reception
• Third-party platform changes or policy updates

We guarantee our effort, expertise, and adherence to best practices, but results may vary based on factors outside our control.

6. Intellectual Property

Client Materials

You retain ownership of all materials you provide to us. You grant us a license to use these materials solely for providing our services.

Created Content

Content we create for your campaigns becomes your property upon full payment. We retain the right to showcase this work in our portfolio and case studies (with your approval).

7. Confidentiality

We agree to keep confidential any proprietary or sensitive information you share with us. This does not include information that is publicly available, independently developed, or required to be disclosed by law.

8. Termination

By Client

Monthly retainers can be cancelled with 30 days written notice. Starter packages cannot be cancelled once work has begun. Any pre-paid fees for uncompleted work will be refunded on a pro-rata basis.

By Redd Growth

We reserve the right to terminate services immediately if you violate these terms, engage in fraudulent activity, or fail to pay invoices.

9. Limitation of Liability

Redd Growth's liability shall not exceed the total amount paid by you for services in the 3 months preceding the claim. We are not liable for indirect, consequential, or special damages including lost profits or business interruption.

10. Indemnification

You agree to indemnify and hold Redd Growth harmless from any claims arising from your use of our services, your breach of these terms, or your violation of any law or third-party rights.

11. Compliance with Reddit

All our services are designed to comply with Reddit's Terms of Service, Content Policy, and advertising guidelines. However, Reddit's policies may change, and you acknowledge that our ability to deliver certain services may be affected by platform changes beyond our control.

12. Dispute Resolution

Any disputes arising from these terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of our services constitutes acceptance of modified terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
